**Mikirduit –** Pentair plc. (NYSE: PNR) is a water solutions company that makes pumps, filtration systems, residential and commercial water equipment, and pool products. Its shares had been under pressure through much of 2026, mainly because of the Pool segment. In Q2, Pool sales fell 42% as distributors worked down excess inventory.

### Key Takeaways

- Pentair reported Q3 2026 adjusted EPS of **$1.18**, about 10% above the $1.07 analyst consensus, on revenue of **$976.4 million** versus $963.7 million expected.
- The shares gapped up after the October 27 report and have rallied roughly **31.7%** since October 22, based on Mikirduit's price tracking.
- The beat was real but came against a weak year-over-year backdrop: sales fell about 4% and adjusted EPS declined from $1.24 a year ago.
- Management says the Pool inventory correction is complete, guided Q4 sales up 7% to 9%, and reaffirmed full-year adjusted EPS of about **$4.70**.
- The pending **$1.4 billion Taco acquisition** could shift Pentair toward data center cooling, but it has not closed yet.

Against those low expectations, the Q3 report (filed October 27, 2026) stood out:

| Metric | Reported | Consensus / Comparison |
| --------------------------------------- | -------------- | -------------------------------- |
| Revenue | $976.4 million | $963.7 million consensus (+1.3%) |
| Adjusted EPS | $1.18 | $1.07 consensus (+10.3%) |
| Adjusted EPS, excluding tariff refund\* | about $1.14 | about 6.5% above consensus |
| GAAP EPS | $0.91 | $1.12 in Q3 2025 |
| Adjusted operating income | $242 million | down 8% year over year |
| Free cash flow | $153 million | $179 million in Q3 2025 |

\* *Pentair's results included roughly $8 million of refunds tied to IEEPA tariffs, which Mikirduit estimates added about $0.04 per share to adjusted EPS. Even without that boost, the quarter still beat expectations.*

Q3 was also the largest earnings surprise of the three quarters reported so far in 2026.

**A balanced reading:** revenue was still down roughly 4% from about $1.02 billion a year earlier, and adjusted EPS fell from $1.24\. The headline beat reflects better execution and cost control as much as underlying growth. Investors were rewarding stabilization, not a return to strong growth.

## Three Reasons the Market Reacted

### First, The Pool Inventory Correction Appears Finished

Pool was the main drag in 2026\. Distributors had been buying less to bring their own stock in line with demand. In Q3, Pool sales still fell about 18% year over year and segment income dropped 38%, but management said the inventory realignment with major channel partners is now complete, after roughly $280 million of inventory was removed across Q2 and Q3.

That matters because once destocking ends, distributor purchases can track real end-demand again. Pool is also a seasonal business, with peak demand between April and September, so investors should judge it over a full year rather than quarter to quarter.

### Second, The Outlook Was Mixed, but Better Than Feared

- **Q4 revenue:** Pentair expects sales to rise about 7% to 9% year over year. Based on Mikirduit's calculation, that implies roughly $1.09 billion to $1.11 billion, above the roughly $1.05 billion consensus.
- **Q4 adjusted EPS:** Guidance of about $1.15 is roughly 5% below the $1.21 consensus, a point bears will note.
- **Full year 2026:** Management reaffirmed the midpoint of adjusted EPS at about **$4.70**, about 1.3% above the $4.64 consensus. GAAP EPS guidance was updated to about $3.76.

Pentair also maintained its dividend, paying $0.27 per share, and noted this is the 50th consecutive year of dividend increases.

### Third, A Strategic Shift Toward Data Center Cooling

In July 2026, Pentair agreed to acquire Taco Group Holdings for about $1.4 billion. Key facts, from the company's announcement:

- Taco makes hydronic (water-based) heating and cooling products, including pumps, valves, tanks, heat exchangers, and controls, used in HVAC, data centers, hospitals, schools, and commercial buildings.
- Taco is expected to generate about $540 million in 2026 revenue, with adjusted EBITDA margins above 20% after expected cost savings.
- The price equals about 10.5 times estimated 2026 EBITDA, including tax benefits and roughly $30 million of expected annual cost savings.
- Pentair expects the deal to add $0.10 to $0.15 to adjusted EPS in fiscal 2027.
- **The deal is expected to close in Q4 2026, pending regulatory approval.** Net leverage is expected to rise to about 2.4x at closing, with a target of below 1.5x within two years.

For investors, the appeal is exposure to data center cooling, where AI and cloud computing are driving demand for pumps, controls, and water-management equipment. It also makes Pentair look more like a diversified water and HVAC infrastructure company, similar in direction to Xylem (NYSE: XYL).

## Mikirduit's View (Opinion)

When we first outlined our PNR framework in [our comparison of AWK, XYL, ECL, and PNR](https://us.mikirduit.com/four-water-stocks-to-watch-as-ai-data-centers-drive-a-new-infrastructure-boom/), we flagged Pool destocking as the main risk and Taco as the potential catalyst. Q3 results gave us more evidence on the first and kept the second on track.

We continue to hold PNR for two reasons: the potential Pool recovery in 2027 and the data center cooling opportunity through Taco. Management has described its 2027 outlook as "robust," conditional on the Pool channel normalizing.

Our price framework:

- **Target range:** $75 to $92 per share
- **Downside risk level:** about $57 per share
- **Recent low:** about $51 per share, reached before the recovery on end of October 2026

We have not cut our position because nothing in the Q3 report changed the core thesis. We would reassess if Pool demand fails to recover, if the Taco deal is delayed or blocked, or if Q4 guidance proves too optimistic.

## Key Risks to Watch

1. **Pool demand:** Destocking is done, but end-consumer demand must also hold up. Q3 Pool sales were still down 18%.
2. **Lower-quality beat:** Part of the EPS beat came from tariff refunds, and sales are still below last year.
3. **Q4 EPS guidance:** The $1.15 outlook sits below consensus.
4. **Acquisition risk:** The Taco deal is pending, adds leverage, and requires successful integration.
5. **Tariffs and macro conditions:** Trade policy and housing-related demand can move results quickly.

## Bottom Line

Pentair's Q3 report removed some uncertainty: Pool destocking looks finished, full-year guidance held, and the Taco deal opens a new growth path. But the company is still shrinking year over year, and much of the 2027 story depends on execution. Investors should weigh the recovery potential against the risks above and do their own research before acting.
